Terms and
Conditions
1. Definitions
1.1 Client means
person, firm or company that purchases or agrees to purchase goods or services
from the company
1.2 Company
means IT Spider Limited.
1.3.Goods or Services means the item supplied by the
company as specified in the order form
1.4 Contract
means a contract for the supply of goods and services by IT Spider Limited
2. Terms &
Conditions
2.1 These terms and conditions shall apply to all contracts
for the sale and supply of goods and services by IT Spider Limited to the
exclusion of all other terms and conditions which the client may purport to
apply
2.2 When an order
is placed with the Company by any method, the Client will be deemed to have
accepted and agreed to these terms and conditions
2.3 Any
variation of the terms and conditions shall be inapplicable unless agreed in
writing by the Company
2.4 The Company
reserves the right to amend and update these terms and conditions at anytime
without notice
3. Supply
3.1 The Company
agrees to provide the service according to the terms and conditions specified
here
3.2 If the
client's bandwidth reaches the point where it has an adverse affect on other
clients the Company reserves the right to disable the offending site until the
Client can reduce the bandwith usage or alternatively the Company may offer an
alternative solution at a different cost to the client
3.3 The Company
reserves the right to vary the service level at anytime. Any such variations
will not be such as to reduce the overall standard of service to the Client
4. Price &
Payment
4.1 Prices given
are exclusive of VAT
4.2 Payment by
the client for web hosting services will be either on a biannual or yearly
basis in advance
4.3 Invoices
from the Company are due for payment on receipt. Clients supplied with web
hosting services will automatically be charged again at the end of their period
unless closure notification has already been given.
4.4 Payment can
be by cash, standing order or cheque
4.5 The company
reserves the right to vary the amount payable, from time to time, however 30
days prior written notice of any such variation will be given
4.6 Credit terms
are not offered
4.7 If payment
is not made and received in full within 30 days from the date of invoice then
all technical support for the site may be revoked. If payment is still not received
in the following 30 day period the client's account may be suspended and all
DNS services stopped until full payment is received. Suspended web services
must be paid for in full, including the suspended period, before the service
will be resumed
4.8 Any returned
cheques to clients will incur an administration fee of £20.00
5. Termination
5.1 The initial
term of any web hosting services will be six months and shall commence on the
date when the client material is first uploaded onto the server. Thereafter the
contract will continue on a biannual or yearly basis unless terminated according
to the provisions stated in 5.2
5.2 All account
cancellations must be done in writing, with at least 30 days notice and
notifications must include a valid signature and reason for cancellation. Third
party cancellations are not accepted
5.4 The Company
reserves the right to cancel your account at anytime without notice
5.5 When your
account is closed the Company reserves the right to delete all hosted files
5.6 Any attempt
to upload material for purposes other than its intended use will result in the
account being terminated
5.7 Any improper
use by the Client detailed in section 9.0 will result in immediate termination
of the service
5.8 If the Client
terminates a service during the previously agreed contract period, refunds will
not be given
6. Company's
Liability
6.1 The Company is
not liable for economic, indirect or consequential loss arising from delays or
service interruptions
6.2 The Company
will not be responsible for loss occasioned by computer viruses
6.3 The Company
will not distribute your name or e-mail address to any third party
6.4 The Company
reserves the right to remove any material deemed inappropriate, without prior
notice. The Company does not allow any material that may be deemed offensive to
others, or illegal, on their servers.
6.5 The Company
shall not be held liable for any loss or damage caused by the use, misuse,
unavailability or removal of services
6.6 The Company
will not accept liability for any domain names being already registered. The Company will make every reasonable effort
to make a timely registration of the domain name on behalf of the Client. In the event that the domain name chosen by
the Client is not available, due to the fact that it pre-exists, any associated
charges will be refunded
7. Client's
Liability
7.1 It is the
responsibility of the Client to ensure adequate computer virus precautions are
taken
7.2 Data stored
on the Company servers is backed up. It is the responsibility of the client to
keep independent backup files of important data. The Company is not liable for
any loss incurred from the Client's inability to backup files.
7.5 Clients must
not attempt to gain the privileges of another user
7.7 Clients may
have commercial use of web space. This privilege must not be abused. If the Company
believes that this or any other facilities have been abused by the client, this
will result in an immediate termination of their account
7.8 Clients are
responsible for the content of their page/s including obtaining appropriate
legal permission for any works they include and ensuring that the contents of
their page/s do not violate
7.9 Clients are
responsible for, and accept responsibility for, all content and material available
via their website including any illegal, offensive, defamatory, confidential,
secret or other proprietary material
7.10 Clients
will be advised at the time of purchase, of the duration of any Domain Names
registered on their behalf. Clients are responsible for any renewal of these
Domain Names prior to the expiry of that period
7.11 The
Client accepts the responsibility for ensuring that any chosen domain names do
not infringe the rights of any third party
7.12 If the
Company registers a Domain Name on behalf of a Client, the Client may at any
time during the duration of that Domain, request a transfer of that domain name
to a third party. This transfer will
incur a £20.00 administration fee
9. Improper Use
9.1 The Company's
service may only be used for lawful purposes by the Client
9.2 Any breach
of the terms and conditions or, hosting of materials or access to material as
indicated in 7.9 shall entitle the Company to terminate the contract irrespective
of whether the Client is aware of this material
9.3 The Company
does not allow any material that is deemed to be offensive or illegal by the
Company
9.4 Clients may
not run server processes, such as talkers or IRC Bots from their account
9.5 Clients must
not participate in any form of unsolicited bulk e-mailing or spam
9.6 Any breach
of the above conditions will result in an immediate withdraw of service provided
by the Company
